Statutory Requirement Under Gazette No. 2480/48 (Effective March 30, 2026)

The Department of Registrar of Companies (DRC) has introduced the Companies (Beneficial Ownership) Regulation No. 1 of 2026. This regulation makes it mandatory for every company to identify, verify, and register its Ultimate Beneficial Owners (UBO) and an Authorised Person via the official Government BO Portal.

Statutory Requirement Under Gazette No. 2480/48 (Effective March 30, 2026) Please note the following important update from the Registrar of Companies (DRC), Sri Lanka:

1. Scope of the New Regulation

New Incorporations: No company will be issued a Certificate of Incorporation until Form BO 01 and Form BO 05 are successfully filed and verified.

Existing Companies: All companies registered prior to March 30, 2026, are legally required to submit their Beneficial Ownership details (Form BO 07) and appoint an Authorised Person (Form BO 05) immediately.

2. Mandatory Statutory Forms

To comply with the law, E Corporate will now process the following additional filings for all clients:

FORM BO 01 / BO 07: Disclosure of individuals who ultimately own or control 10% or more of the company.

FORM BO 05: Formal appointment of the "Authorised Person" responsible for BO data accuracy.

3. Fee Adjustment & Service Update

Due to the additional legal complexities, portal management, and statutory filing requirements introduced by the Government, E Corporate has updated its service fee structure.

Fee Increase: A mandatory fee of Rs. 6,000/= will be added to all service plans effective March 30, 2026.

Existing Clients: Although you have already paid for your current packages, this is a new government requirement that did not exist at the time of your previous payment. To maintain your company’s "Active" status and avoid legal penalties or resubmission orders from the ROC, this filing must be completed.

Action Required: Existing clients will receive a notification via the E Corporate Dashboard to initiate these filings.

වැදගත් නිවේදනයයි | අනිවාර්ය ප්‍රතිලාභී අයිතිකරුවන්ගේ (BO) තොරතුරු ඉදිරිපත් කිරීම

2480/48 අංක දරන අතිවිශේෂ ගැසට් පත්‍රය යටතේ වන ව්‍යවස්ථාපිත අවශ්‍යතාවය (2026 මාර්තු 30 සිට ක්‍රියාත්මකයි)

සමාගම් රෙජිස්ට්‍රාර් දෙපාර්තමේන්තුව (DRC) විසින් 2026 අංක 1 දරන සමාගම් (ප්‍රතිලාභී අයිතිකරුවන් පිළිබඳ) රෙගුලාසි හඳුන්වා දී ඇත. මෙම රෙගුලාසිවලට අනුව, සෑම සමාගමක්ම තම සැබෑ ප්‍රතිලාභී අයිතිකරුවන් (Beneficial Owners) සහ බලයලත් පුද්ගලයා (Authorised Person) රජයේ නිල BO ද්වාරය (Portal) හරහා ලියාපදිංචි කිරීම අනිවාර්ය වේ.

1. නව රෙගුලාසියේ විෂය පථය

නව සමාගම් ලියාපදිංචිය: BO 01 සහ BO 05 ආකෘති පත්‍ර සාර්ථකව ඉදිරිපත් කර සනාථ කරන තෙක් කිසිදු නව සමාගමකට සංස්ථාගත කිරීමේ සහතිකය නිකුත් කරනු නොලැබේ.

පවතින (පැරණි) සමාගම්: 2026 මාර්තු 30 දිනට පෙර ලියාපදිංචි වී ඇති සියලුම සමාගම්, ඔවුන්ගේ ප්‍රතිලාභී අයිතිකරුවන්ගේ විස්තර (BO 07) සහ බලයලත් පුද්ගලයා පත් කිරීමේ පත්‍රිකා (BO 05) වහාම ඉදිරිපත් කිරීමට නීතියෙන් බැඳී සිටී.

2. අනිවාර්ය ව්‍යවස්ථාපිත ආකෘති පත්‍ර

නීතිමය අවශ්‍යතා සපුරාලීම සඳහා, E Corporate ආයතනය විසින් පහත සඳහන් අමතර ලේඛන සැකසීම සිදු කරනු ලබයි:

FORM BO 01 / BO 07: සමාගමෙන් 10% හෝ ඊට වැඩි ප්‍රතිලාභී අයිතියක් හෝ පාලනයක් දරන පුද්ගලයන් හෙළිදරව් කිරීම.

FORM BO 05: BO දත්තවල නිරවද්‍යතාවය පිළිබඳ වගකීම දරන "බලයලත් පුද්ගලයා" නිල වශයෙන් පත් කිරීම.

3. ගාස්තු සංශෝධනය සහ සේවා යාවත්කාලීන කිරීම

රජය විසින් අලුතින් හඳුන්වා දුන් මෙම නීතිමය සංකීර්ණතා සහ අමතර ලිපිගොනු ඉදිරිපත් කිරීමේ ක්‍රියාවලිය හේතුවෙන්, E Corporate සේවා ගාස්තු සංශෝධනය කර ඇත.

ගාස්තු වැඩිකිරීම: 2026 මාර්තු 30 සිට ක්‍රියාත්මක වන පරිදි සියලුම සේවා පැකේජ සඳහා රු. 6,000/= ක අනිවාර්ය ගාස්තුවක් එකතු වේ.

පවතින ගනුදෙනුකරුවන් සඳහා: ඔබ දැනටමත් ඔබගේ පැකේජ සඳහා ගෙවීම් කර තිබුණද, මෙය ඔබ මීට පෙර ගෙවීම් කරන අවස්ථාවේ නොතිබූ නව රජයේ අවශ්‍යතාවයකි. ඔබගේ සමාගම නීත්‍යානුකූලව පවත්වාගෙන යාමට සහ සමාගම් රෙජිස්ට්‍රාර්වරයා විසින් පනවනු ලබන දඩ මුදල් හෝ ලියාපදිංචිය අවලංගු කිරීම් මඟහරවා ගැනීමට මෙම ලිපිගොනු ඉදිරිපත් කිරීම අත්‍යවශ්‍ය වේ.

ගත යුතු ක්‍රියාමාර්ග: පවතින ගනුදෙනුකරුවන් වෙත මෙම ලිපිගොනු ආරම්භ කිරීම සඳහා E Corporate Dashboard හරහා දැනුම්දීමක් එවනු ලැබේ.
